These Terms & Conditions ("Terms") govern your access to and use of nuasite.com and the services provided by Contember Ltd, operating as Nua Site ("Contember", "Nua Site", "we", "us", or "our"). By placing an order, submitting project assets, or interacting with the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

Nua Site helps teams keep their websites fresh by translating conversational requests into production-ready Astro updates. Deliverables include static Astro components, pages, configuration files, and accompanying assets required to run the updated site locally or on supported static hosts. Deliverables do not include databases, authentication layers, server-side logic, or managed hosting services unless explicitly agreed in writing.

Eligibility

  • You must be at least 18 years old and able to enter into legally binding contracts.
  • You represent that you own, control, or have sufficient rights to the domain you submit and all content publicly accessible from that URL.
  • Projects involving unlawful material, infringing content, or third-party proprietary assets without authorization will be refused.

Ordering and Payment

Ordering and Payment

  • Pricing is published on our site and may be quoted per page, per request, or via custom retainers. We reserve the right to adjust pricing or apply custom quotes for complex requests before work begins.
  • Orders begin when you submit the primary URL or conversational brief. Our crawler scans publicly accessible pages on that domain and we present you with a list of pages or components you can confirm.
  • Payment is due upon order via approved payment processors. You are responsible for applicable taxes, fees, and currency conversion charges.
  • Orders are considered confirmed after payment is received. If we cannot fulfill a request, we will issue a refund for unused amounts.

Project Assets and Deliverables

Project Assets and Deliverables

  • You are responsible for providing accurate URLs, briefs, and confirming which crawled pages should be cloned or updated. Delays caused by incorrect URLs or unconfirmed selections may extend delivery timelines.
  • Nua Site delivers source files in Astro format. Deliverables are static files and exclude proprietary integrations, databases, authentication flows, APIs, or backend logic present on the original site.

Website Crawling

Website Crawling

To fulfill each order, Nua Site uses automated tools to crawl the publicly accessible portions of the URL you submit. The crawler copies HTML, stylesheets, images, and other front-end assets needed to recreate the pages you select. We process only content available without authentication and do not attempt to bypass security measures. You are responsible for ensuring that automated crawling of your site complies with your own policies and with applicable law.

Intellectual Property

Intellectual Property

  • You retain ownership of customer-supplied content, trademarks, and copy.
  • Generated code is provided under the license stated in your order confirmation and remains your property once paid in full.
  • We retain ownership of background technology, tooling, and processes used to deliver the Services.

License and Usage

License and Usage

Upon full payment, Nua Site grants you a non-exclusive, worldwide, transferable license to use, modify, and deploy the deliverables for your business purposes. You may not represent the deliverables as being created by you if attribution is mandated by a third-party asset license.

Client Responsibilities

  • Provide timely feedback, approvals, and any required third-party credentials for integrations you request.
  • Ensure that the content you supply does not infringe any third-party rights and complies with all applicable laws.
  • Maintain backups of your production site; Nua Site is not responsible for lost data outside the Services.

Delivery Timelines & Revisions

Delivery Timelines & Revisions

Estimated delivery timelines are provided during onboarding and may vary based on project complexity. Minor adjustments directly tied to the original brief are included within seven (7) days of delivery. Additional revisions or net-new scope may be billed separately.

Fair Use Policy

Fair Use Policy

Nua Site is designed for ongoing, conversational updates — not unlimited production outsourcing. To maintain quality and responsiveness for all customers, a Fair Use Policy applies to all plans.

  • Each subscription includes up to 400 individual edit requests per year (approximately 30–35 per month on average).
  • Edits include any change request sent via WhatsApp, such as text updates, new content sections, or small design adjustments.
  • Requests that substantially exceed this limit, or involve full redesigns, new site builds, or repeated large-scale changes, may require an upgrade, one-time quote, or temporary queue adjustment.
  • We’ll always notify you before any limits are reached and discuss available options to continue smoothly.

This policy ensures consistent service speed and fairness across all customers while keeping Nua Site sustainable for long-term collaboration.

Third-Party Tools & Licenses

Third-Party Tools & Licenses

The Services may incorporate third-party libraries, icons, fonts, or other assets governed by their own licenses. Where required, we will identify such dependencies in the deliverables. You are responsible for honoring any ongoing license obligations.

Disclaimer

The Services and deliverables are provided "as is" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the deliverables will be error-free, uninterrupted, or meet your performance requirements.

Limitation of Liability

Limitation of Liability

To the fullest extent permitted by law, Contember and its directors, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising from or related to the Services. Our total liability for any claim arising under these Terms is limited to the amount you paid for the Services giving rise to the claim.

You agree to indemnify and hold harmless Contember, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, content you supply, or your misuse of the Services.

Suspension or Termination

Suspension or Termination

We may suspend or terminate access to the Services immediately if you violate these Terms, fail to pay fees when due, or engage in activities that compromise our systems or infringe the rights of others. Upon termination, your license to use any unpaid deliverables ends immediately.
